Welcome to By Lark.
These Service Agreement & Terms & Conditions (the “Terms”) govern the relationship between you (“Client,” “you,” or “your”) and By Lark LLC, a boutique travel, lifestyle, and concierge company (“By Lark,” “we,” “us,” or “our”). These Terms apply to all Services we provide, including travel planning, concierge support, lifestyle management, research, sourcing, reservations, coordination, communication, and any other assistance (collectively, the “Services”).

By engaging with By Lark, requesting support, using our website, communicating with us, or paying a fee or deposit, you agree to be bound by these Terms.
If you do not agree, you may not use or engage our Services.

1. ABOUT BY LARK

By Lark is a luxury travel and lifestyle service providing personalized trip design, concierge services, coordination, sourcing, reservations, research, and general lifestyle management. We operate independently and in partnership with select affiliates, agencies, and supplier networks. We do not own or control airlines, hotels, transportation companies, restaurants, events, household vendors, or any third-party service providers.

2. SCOPE OF SERVICES

Our Services may include, but are not limited to:

2.1 Travel Services

  • Itinerary design and travel consultation

  • Hotel, villa, and resort research and recommendations

  • Domestic and international travel coordination

  • Flight advisory and airline support (when applicable)

  • Tours, activities, guides, and excursions

  • Cruise and yacht arrangements

  • Dining, spa, wellness, and local reservations

  • Transportation, transfers, and ground services

  • Special requests, events, and celebrations

2.2 Concierge & Lifestyle Services

  • Restaurant, wellness, beauty, and entertainment bookings

  • Errands, sourcing, research, gifting, and personal shopping

  • Household coordination, vendor sourcing, and appointment scheduling

  • Calendar support, reminders, and planning

  • Event coordination, invitations, and logistics

  • Extended project-based support

  • Recommendations for service providers, specialists, and vendors

  • Local, domestic, and international concierge requests

2.3 Discretion in Service Acceptance

By Lark may accept or decline any request at our sole discretion, including requests that are unethical, unreasonable, unsafe, illegal, or outside our expertise.

3. CLIENT RESPONSIBILITIES

You agree to:

  • Provide accurate and complete information

  • Communicate preferences, restrictions, and timelines clearly

  • Review all materials, documents, confirmations, itineraries, and invoices promptly

  • Comply with all supplier rules, government regulations, and legal requirements

  • Maintain respectful and timely communication

  • Understand that delays in your response may cause loss of availability or increased pricing

  • Pay all fees, deposits, and balances when due

Failure to provide required information or payment may result in cancellation, delayed service, or additional fees.

4. FEES, BILLING & PAYMENT TERMS

4.1 Planning Fees & Membership Fees

Professional fees—including planning fees, consulting fees, design fees, research fees, concierge fees, or membership fees—are non-refundable.

4.2 Service Fees

Certain tasks, changes, rush requests, or premium concierge efforts may incur additional service fees, which will be disclosed in advance when possible.

4.3 Supplier Payments

Supplier pricing, terms, cancellations, and penalties apply independently of By Lark. You authorize By Lark or our affiliated agency to process supplier payments when you provide payment information.

4.4 Authorization to Charge

By providing a payment method, you authorize:

  • Planning fees

  • Service fees

  • Supplier charges (hotel deposits, villa payments, tours, transfers, etc.)

  • Change fees

  • Cancellation penalties

  • Add-ons you approve verbally, digitally, or in writing

4.5 Currency & Pricing

Pricing is subject to change until paid. We are not responsible for increases, currency fluctuations, supplier adjustments, or availability changes.

5. CHANGES, CANCELLATIONS & REFUNDS

5.1 Client-Initiated Changes

Changes requested after confirmation may incur penalties. Suppliers may treat changes as cancellations.

5.2 Client-Initiated Cancellations

Cancellation policies vary by supplier. Many bookings—including hotels, villas, flights, experiences, and concierge services—are fully non-refundable.

Planning fees, service fees, membership dues, and consulting fees are not refundable at any time.

5.3 Supplier Changes

Airlines, hotels, tour operators, restaurants, and other vendors may change or cancel services for reasons outside our control. We will support you in rebooking when possible, but we are not liable for associated costs.

5.4 Refunds

Refunds are exclusively governed by each supplier.
By Lark cannot guarantee or influence refund decisions.

6. TRAVEL DOCUMENTS & LEGAL REQUIREMENTS

You are responsible for:

  • Valid passports

  • Visas and entry documents

  • Vaccinations and health requirements

  • Travel insurance

  • Compliance with customs, safety, and government laws

We are not responsible for losses resulting from failure to obtain required documents or meet entry criteria.

7. THIRD-PARTY SUPPLIERS

7.1 Independence of Suppliers

By Lark does not own or control any third-party provider. All travel and concierge services dependent on suppliers—including hotels, airlines, drivers, tour companies, restaurants, spas, household services, or vendors—are subject to their own terms.

7.2 Supplier Responsibilities

Performance, quality, and conduct of suppliers are outside our control.
We are not liable for:

  • Errors, negligence, delays, or omissions by suppliers

  • Overbookings or reservation failures

  • Accidents, injuries, illness, or property damage

  • Weather, strikes, political unrest, or force majeure

  • Operational decisions or quality of service

  • Vendor reliability, punctuality, or outcome of work

7.3 Vendor Recommendations

You acknowledge that any referral or introduction we provide—whether for travel, household, event, or lifestyle services—is based on experience and research, but By Lark does not guarantee outcomes.

8. CONCIERGE REQUESTS & LIMITATIONS

8.1 Reasonable Use

Service capacity is finite. Excessive or unreasonable volume of requests may require:

  • Upgrading your service level

  • Charging an additional fee

  • Extended timelines

  • Declining the request

8.2 Prohibited Services

We do not engage in:

  • Legal, medical, financial, or professional advising

  • Services requiring licensure or certification

  • Waiting in lines or delivering goods personally

  • Illegal or unethical activities

  • Requests that may compromise safety, privacy, or compliance

8.3 Timing

While By Lark strives for timely completion, certain requests require vendor availability, supplier response, or external conditions outside our control.

9. TRAVEL INSURANCE

We strongly recommend purchasing comprehensive travel insurance, including:

  • Trip cancellation & interruption

  • Medical coverage abroad

  • Evacuation

  • Supplier default

  • Baggage loss

  • Travel delay

Declining insurance is entirely at your own risk.

10. CONFIDENTIALITY & PRIVACY

10.1 Client Information

We maintain strict confidentiality for all personal, lifestyle, household, and travel information you share.

10.2 Data Use

We may use your information for:

  • Planning travel

  • Fulfilling concierge requests

  • Communicating with suppliers

  • Managing your account or membership

  • Ensuring service quality

10.3 Third-Party Sharing

Information may be shared with suppliers strictly as required to complete your booking or request.

A full Privacy Policy will be maintained separately.

11. COMMUNICATIONS & RESPONSIVENESS

11.1 Communication Channels

Approved communication channels include email, phone, WhatsApp, and other platforms agreed upon.

11.2 Response Times

By Lark adheres to reasonable response windows depending on membership tier, business hours, request urgency, and availability.

11.3 Client Delays

Your delays in reviewing itineraries, confirming details, or providing information may result in:

  • Loss of pricing or availability

  • Supplier penalties

  • Missed opportunities

  • Required rework or additional fees

12. LIMITATION OF LIABILITY

To the fullest extent allowed by law, By Lark is not liable for:

  • Personal injury, illness, or death

  • Property damage or theft

  • Supplier negligence or operational failures

  • Government restrictions, border closures, or denied entry

  • Delays, cancellations, or missed connections

  • Errors in third-party materials or supplier information

  • Force majeure events

  • Losses resulting from inaccurate information provided by you

  • Acts or omissions of household vendors or lifestyle service providers

  • Damages resulting from personal decisions, conduct, or actions outside our control

Our total liability for any claim is limited to the amount you paid directly to By Lark for the specific Service in question.

13. INDEMNIFICATION

You agree to indemnify and hold harmless By Lark, its owners, employees, agents, and affiliates from claims or damages arising from:

  • Your use of Services

  • Your violation of these Terms

  • Actions or negligence of suppliers, vendors, or service providers

  • Misuse of recommendations or introductions

  • Travel decisions you choose to make

  • Breaches of law or regulation

  • Incorrect information you provide

14. MEMBERSHIP TERMS

(If applicable to your service structure)

14.1 Membership Scope

Membership grants access to certain Services, benefits, and support levels.
Memberships do not include unlimited services.

14.2 Renewal

Memberships may renew automatically unless otherwise specified.

14.3 Modifications

By Lark may adjust membership tiers, benefits, or structure with reasonable notice.

14.4 Termination

We may terminate membership for:

  • Abusive communication

  • Failure to pay

  • Unreasonable volume of requests

  • Breach of Terms

  • Illegal or unsafe behavior

  • Any action jeopardizing the integrity of the Services

15. TERMINATION OF SERVICES

We may discontinue Services at any time due to:

  • Safety concerns

  • Failure to pay

  • Non-cooperation

  • Abuse or disrespect

  • Violations of law or ethics

  • Unreasonable requests

  • Capacity constraints

  • Changes in availability

You remain responsible for any outstanding balances, supplier charges, penalties, or fees.

16. WEBSITE TERMS OF USE

You agree not to:

  • Copy, distribute, or misuse website content

  • Use automated tools to scrape or extract data

  • Upload malicious software

  • Attempt unauthorized access

  • Infringe copyrights, trademarks, or intellectual property

All content is owned by By Lark and protected under applicable laws.

17. INTELLECTUAL PROPERTY

All itineraries, plans, research, concepts, designs, images, and materials created by By Lark remain our intellectual property.
You may not resell, repackage, publish, or distribute them without written permission.

18. FORCE MAJEURE

By Lark is not responsible for failures or delays caused by events beyond reasonable control, including:

  • Natural disasters

  • Weather

  • War

  • Government actions

  • Epidemics or health emergencies

  • Supply-chain disruptions

  • Labor strikes

  • Power outages

  • Technology failures

19. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of New York without regard to conflict-of-law principles.

Any dispute shall be resolved:

  1. Through good-faith discussion

  2. Through mediation in New York County

  3. If unresolved, exclusively through New York courts

Class-action waivers may apply.

20. AMENDMENTS

By Lark may update these Terms periodically.
Continued use of our Services constitutes acceptance of the revised Terms.
